Corporate Associate
Klehr Harrison Harvey Branzburg LLP is seeking an associate with 4-6 years of sophisticated transactional experience to join our Corporate & Securities Department in Philadelphia. Candidates for this opportunity must have M&A and general corporate counseling experience.
Our corporate practice advises private equity sponsors, privately held companies, financial institutions, investors and entrepreneurs in sophisticated domestic and cross-border transactions across a broad range of industries. The successful candidate will have the opportunity to work on complex, market-leading matters while developing meaningful client relationships and taking on significant responsibility from the outset.
The associate in this role will work as an integral member of deal teams representing clients in connection with:
- Mergers, acquisitions and divestitures.
- General outside corporate counsel matters for privately held companies.
- Corporate governance, entity formation, and ongoing business counseling.
- Private equity investments and portfolio company transactions.
- Joint ventures.
- Debt and equity financing transactions.
Associates are expected to manage significant portions of transactions, draft and negotiate principal transaction documents, coordinate due diligence, supervise junior attorneys and interact directly with clients.
