Max counsels public and private companies on all matters related to corporate governance, securities regulation, and mergers and acquisitions. He represents private companies in both buyer- and seller-side transactions, including the acquisition and disposition of equity interests and assets, triangular mergers, redemptions and joint ventures. Max also represents lead investors in seed series and preferred series financing rounds of emerging companies in healthcare and technology spaces and counsels clients on their oversight of subsequent financing rounds. He is experienced with SAFEs, warrants and other start-up stage capital alternatives. He also has significant experience drafting a broad range of agreements including nondisclosure agreements, employment agreements, manufacturing and supply agreements, donation agreements, commercial leases, data licensing agreements and settlement agreements as well as researching Pennsylvania, Delaware and New Jersey corporate law.
Max has worked with the Pennsylvania Innocence Project to exonerate innocent individuals in the Philadelphia area who have been wrongfully convicted of crimes.
Prior to joining the firm, Max worked as a corporate associate in the Philadelphia office of a midsize law firm.
