Delaware’s recent commercial decisions underscore a consistent theme: transactional drafting often predetermines litigation outcomes. Precision in defined terms, governance provisions, amendment mechanics, integration and anti-reliance clauses, and conditions precedent can determine not only which party prevails, but whether a dispute survives threshold scrutiny in court at all. This program reviews recent decisions through six recurring drafting domains that repeatedly surface in commercial disputes: defining investor status and governance rights, avoiding common pitfalls in competition-related restrictive covenants, structuring amendment and consent mechanics, using integration and reliance clauses effectively, and expressing conditions precedent with clarity, and practical cautions about seemingly routine boilerplate provisions that frequently become outcome-determinative in Delaware litigation.
