In this webinar, Jon Katona will focus on getting the capital contribution, distribution and “exit” (buy-sell, required sale, transfer) provisions of real estate joint venture agreements to work together based on the project’s equity structure. We will discuss which member should be contributing capital depending on the type of capital (initial, overrun, operating deficit, rescue and preferred capital) and when it gets returned in the distribution waterfall. We also will talk about how to structure certain consent rights, buy-sell provisions, required sale provisions and transfer provisions based on how the contribution and distribution provisions are structured.
