Adam focuses his practice on advising investment managers on the formation, structuring and offering of private investment funds. He assists with drafting, reviewing and negotiating various offering documents, such as private placement memoranda, limited partnership agreements, subscription documents and other ancillary documents. He also has experience in securities and corporate governance matters, finance transactions and other general corporate matters.
Adam has additional expertise in merger and acquisition transactions across multiple industries, including industrials, pharmaceuticals, consumer brands and technology. He has assisted with drafting, reviewing and negotiating stock and asset purchase agreements, letters of intent, escrow agreements, disclosure schedules, legal opinions, reliance letters, employment agreements, non-disclosure agreements and indemnification agreements.
Prior to joining the firm, Adam worked as an associate in the financial market and funds department of a large international law firm based in New York.
