Biography
Max concentrates his practice on debt finance, representing corporate borrowers, guarantors and lenders across a wide spectrum of transactions including leveraged finance, real estate finance, syndicated credit, fund finance, accounts receivable finance, refinancing, distressed debt and sponsor guarantees. His practice regularly involves senior, mezzanine, term, revolving, swingline, hybrid and international credit facilities and complex intercreditor structures.
Additionally, Max represents property developers and investors in preferred equity transactions and joint ventures across various asset classes including multifamily, industrial and hospitality.
Max also maintains a general corporate practice counseling clients on contract interpretation and positioning, corporate governance, asset and equity acquisitions and dispositions and capital raising initiatives.

Experience
- Represented an Australian parent group and its United States and Canadian subsidiaries in the following:
- $240 million revolving credit facility for the United States and Canadian divisions with dual US and CAD swinglines and accordions.
- $220 million credit facility for the Australian parent group guaranteed by the United States and Canadian divisions.
- $40 million sidecar credit facility specific to the acquisition and renovation of a United States manufacturing plant.
- Represented the capital partner of a joint venture as guarantor of a $70 million term and revolving credit facility for the acquisition and renovation of franchise locations throughout the United States with a collateral joinder and release mechanism for individual franchises.
- Represented an equipment manufacturing company and its private equity ownership in a $205 million leveraged credit facility and the corresponding acquisition of portfolio companies thereunder.
- Represented a Pennsylvania Health Maintenance Organization as borrower in a $1.2 billion hybrid term and revolving syndicated credit facility.
- Represented an institutional real estate investment manager in an investment fund offering of $90 million in connection with its equity stake in the acquisition of an international hotel chain.
- Represented a real estate developer in the $50 million refinancing and property subdivision of a multifamily property in a Qualified Opportunity Zone.
