Biography

Ryan is a business-focused litigator, whose practice most commonly involves complex civil litigation and commercial disputes, including shareholder class actions, derivative litigation, M&A litigation, and corporate governance disputes. He also counsels clients on litigation risks, both generally and arising from specific strategic transactions. Ryan has a wide range of experience among many substantive areas of law, including contract, fiduciary duties, novel corporate law claims, securities law, and business tort law.

Ryan’s practice involves representing clients in all phases of a lawsuit. He has represented clients at trial, procuring successful defense verdicts or favorable settlements. He has represented clients in dozens of appeals across state appellate courts, federal courts of appeals, and before the United States Supreme Court, for parties and amici alike.

Ryan understands that modern legal challenges for corporations, entities and individual clients require more than sound legal and practical business advice. In each case, Ryan strives to understand not only his client’s current objectives and the risks presented by a given dispute, but also how those objectives and risks fit into the greater business context within which they arose. Ryan stands by his clients not just during dispositive motions or discovery, but through trial, appeals and post-litigation strategic thinking regarding, among other things, how to avoid similar litigation risks in the future.

Before joining the firm, Ryan was a litigator in the Philadelphia office of a large international law firm. Prior to that, he served as a law clerk to the Honorable Judge Franklin S. Van Antwerpen on the U.S. Court of Appeals for the Third Circuit.

  • Successfully defended a Fortune 500 insurance company on multi-hundred-million dollar claims in state, federal, appellate and administrative proceedings, including proceedings before the Pennsylvania Commonwealth Court, the Pennsylvania Supreme Court and the United States Third Circuit Court of Appeals.
  • Successfully defended a large manufacturer of audio peripherals and a multi-billion dollar private equity fund at a two-week trial brought by opt-out plaintiffs in state court.
  • Defended a large chemical manufacturer at trial against antitrust price-fixing claims brought by opt-out plaintiffs in federal district court.
  • Successfully defended a foreign central bank against RICO and other claims brought by U.S. plaintiffs.
  • Successfully defended a major law firm on claims of legal malpractice related to an alleged failure to properly document a loan and security agreement, which resulted in summary judgment for the client.
  • Successfully obtained dismissal on behalf of a private client of claims arising under Pennsylvania’s Dragonetti Act.
  • Successfully obtained dismissal on behalf of a private client of ERISA fiduciary claims before the United States Third Circuit Court of Appeals.
