Stephen is an accomplished corporate lawyer and senior business executive with decades of experience advising public and private companies, boards of directors, private equity, growth equity and venture capital funds, and financial institutions on complex corporate, securities, and transactional matters. He is widely regarded as a trusted adviser to CEOs and boards, known for delivering practical, risk-weighted, business-oriented legal counsel in fast-paced and highly regulated environments.
Stephen currently serves as Chief Business Officer, General Counsel, and Corporate Secretary of Footprint International Holdco, Inc., a disruptive international materials science and sustainability technology company. In this role, he oversees global legal operations, partners closely with executive leadership on business growth and technology strategies, leads strategic transactions, capital markets activity, governance, ESG initiatives, and manages the company’s intellectual property portfolio. In that role, his experience includes leading equity and debt financing transactions in excess of $1.7 billion, structuring international joint ventures and commercial partnerships, and managing a global intellectual property portfolio of patents and trademarks.
Earlier in his career, Stephen spent nearly two decades as a Partner and Of Counsel at Faegre Drinker Biddle & Reath LLP, where he was elected to three terms as Managing Partner of the firm. In private practice, he advised public and private companies across the technology, healthcare and life sciences, financial services, manufacturing, and retail sectors on mergers and acquisitions, capital markets transactions, corporate governance, securities regulation, and financings. His transactional experience includes advising on billions of dollars in M&A transactions and public and private securities offerings, as well as counseling boards on fiduciary duties, regulatory compliance, and governance best practices.
Stephen earned his J.D. from the University of San Francisco School of Law and his B.S.F.S., cum laude, from Georgetown University, with a concentration in international economics and finance. He is admitted to practice in Arizona, Pennsylvania and New Jersey and is a frequent speaker and author on corporate governance, securities law, mergers and acquisitions, and other topics. He is also the recipient of the 2022 ACC Corporate Counsel Award for Environmental Impact.
