Representative Matters

• Capital Investment. Represented a service company in early-stage capital investment, as well as preparing the company for operations; in connection with the capital investment, also assisted our client in converting the company to a Delaware limited liability company, granting stock awards to employees and general corporate governance.
• Seed Capital. Represented a startup offering analytical services for healthcare payors with a private placement of its membership interests to raise initial seed capital for its organizational and business operations.
