We regularly represent developers, owners, investors, private equity firms, and real estate management companies in all types of commercial real estate transactions. However, we also count among our clients, hospitals, hotel operators and educational and religious institutions, and we understand the intricacies that go along with transfers of specialized assets. Working seamlessly with our corporate, finance, and tax attorneys, we are often called upon by our clients to advise on structuring (or restructuring) deals to maximize tax or other benefits both at purchase and upon exit. While our primary team is located in Philadelphia, our Law Firm Alliance membership allows us to handle national-level transactions while leveraging local counsel insight and expertise when called upon. - Representation of leading private equity funds, together with many of their portfolio companies, in connection with due diligence for owned and leased real estate assets and sale-leasebacks.
- Representation of a national student-housing provider in the acquisition of various scattered site apartment portfolios and multi-parcel assemblage acquisitions.
- Representation of a private equity firm in the acquisition of approximately $410 million of restaurant properties and the simultaneous negotiation of divestment agreements for single and master lease sale-leasebacks.
- Representation of a real estate investment firm in the acquisition of an iconic, historic mixed-use building in Philadelphia, PA, consisting of a hotel managed by a multinational hospitality company, office space, retail space and a fitness facility.
- Represented a New York-based developer in the acquisition of a 67-acre site from one the largest multinational chemical companies. Our team also handled the entitlements and zoning for the development of a 700,000-square-foot warehouse and logistics center on the site.
- Representation of a private-equity-owned manufacturer of specialty fertilizer products in the $110 million acquisition of farmland in Fort Dodge, IA, for the development of a new manufacturing facility.
